Object

These terms and conditions of service (T&Cs) are the sole basis for commercial negotiation and the commercial relationship between the parties. They thus set out the conditions under which the Company provides its Services to its Clients who request them.

The fact that the Company does not avail itself at any given time of any of these terms and conditions of sale cannot be construed as a waiver to avail itself of any of those conditions at a later date.

Within these terms and conditions, the following terms are frequently used, the definitions of which are:

  • Client: refers to any individual or corporation that requests one or more of the services offered by the Company;
  • Company: refers to the company The Bilingual Lantern SARL;
  • Consultant: refers to the person carrying out the tasks for the client, whether it's Jennifer Chamberlin or one of her subcontractors;
  • Order: refers to any order placed by the Customer in order to benefit from the company's services;
  • Terms and Conditions of Service (T&Cs): refers to this document;
  • Professional: refers to the legal or physical purchaser who acts in the course of his professional activity;
  • Services: refers to all services offered by the Company.

The conditions frame the relationships in which the Company provides its Services to its professional Clients who request them or systematically to individual customers.

They can be found directly on the Company's website as well as to Customers when sending business proposals and/or invoices.

As such, any order implies firm and definitive acceptance of these conditions.

Modification of Terms

The Bilingual Lantern SARL reserves the right to modify these Terms & Conditions at any time. Except as otherwise stated herein, any change to these terms is effective immediately.

The Bilingual Lantern SARL will inform its clients by email of any updates to these Terms & Conditions. We also recommend that users visit our website regularly to inquire about any changes. The applicable terms and conditions are those on the day the quote is signed or the service begins.

Our Promise to You

The Bilingual Lantern SARL is committed to providing the best possible service to its Clients. However, if a problem arises, Clients have a right to make a claim within twenty (20) days from the time the service is provided. In order to exercise this right, Clients must send the Company a statement to the address mentioned above in which they express their reservations and claims, with the relevant supporting documentation.

A claim that does not comply with the conditions described above cannot be accepted by the Company. In the event of a well-argued and proven claim, the Company will reimburse the service or reimburse the Client as soon as possible.

Confidentiality and Rights

The Bilingual Lantern SARL agrees to:

  • respect the strictest confidentiality regarding the information provided by the Client, and designated as such;
  • not disclose any information about the services provided for its Clients;
  • sign a confidentiality agreement if the Client wishes.

The terms of the contract signed between the parties are deemed confidential, and as such cannot be disclosed to unauthorised third parties.

The following information will not be considered confidential:

  • that which is available to the public,
  • that which must be disclosed in order to carry out formalities prescribed by law. The professional documents produced by the service provider as part of the services remain their property and are covered by solicitor-client privilege.

In the event of services performed by an associate, the Company undertakes to obtain prior explicit and written agreement from the Client.

The Company is thereby obliged to preserve the confidentiality of any work and not use it for personal gain or commercial use without the prior written consent of the Client.

The Client will be the legal owner and will retain the intellectual copyright of all work undertaken by The Bilingual Lantern SARL.

Finally, the Client authorises the Company to mention its name and the nature of its activity in the event of necessary legal, regulatory and/or tax claims.

Billing and Payment

Before any invoicing, an initial thirty-minute (30) consultation will be available free of charge for the Client.

Final proofreading and checking of all work supplied is the responsibility of the Client, unless specified within the job remit.

The Client understands that The Bilingual Lantern SARL's estimated time and cost for completing the Project is an informal calculation and that any adjustments to the amount of work, schedule and/or the number of hours and fees is subject to review and renegotiation with the Client when necessary.

Any errors must be reported within three (3) days of receipt of completed work. Errors generated by The Bilingual Lantern SARL will be rectified free of charge, but amendments or alterations requested by the Client thereafter will be charged at the standard hourly rate.

Should ongoing project work be suspended or delayed through any default of the Client, The Bilingual Lantern SARL shall be entitled to immediate payment for work already carried out and expenses incurred.

If the Project is based on an hourly rate, the minimum invoice amount will be for one hour and the hourly rate thereafter billed in increments of 5 minutes.

Clients will be invoiced either after an individual assignment is completed or on an ongoing monthly basis – payment frequency to be agreed between both parties when the Project is assigned.

Initial invoices will be issued after a maximum of two (2) weeks, following which all subsequent invoices will be at the frequency agreed by the parties.

Invoices are to be settled within fourteen (14) days of issue unless otherwise agreed. The final invoice shall include billable time, reimbursable expenses, and any other fees related to the Project.

Billable time may include meetings outside of normal working hours and includes the writing and/or reading of correspondence sent by mail or email. If work is required in the clients' offices, then travel time can be billed at the usual hourly rate and any costs are to be covered by the client.

All postage, printing and other stationery expenses bought on behalf of the Client's business will be added to the invoice for reimbursement.

All prices are given in Euros (€). The rates are those in effect on the day of the order, as shown on the commercial proposal sent to the Client.

As such, the rates are given as "Excluding Taxes" (H.T.) which are then subject to "Value Added Tax" (T.V.A.), at the rates in force in France, giving the final "All Taxes Comprised" rate (T.T.C.). Any change in the rate of T.V.A. may be reflected in the price of services.

Payment should be made by bank transfer. Account details will be included on the invoice.

In the event of late payment, the Company may suspend current and/or future services, without prejudice to any other course of action.

Failure to pay for all or part of the services on the agreed date shall automatically and without prior formal notice result in the application of penalties of an amount equal to three times the legal interest rate. This penalty is calculated on the amount, including all taxes, of the sum remaining due, and runs from the due date of the sum.

Should an invoice become overdue, no further work will be undertaken for the Client until such invoice has been paid.

In accordance with Article L 441-6 of the French Trade Code: "Any payment after the due date will result in the payment of a lump sum payment of 40 euros for collection costs. Additional compensation may be claimed, on proof, if the collection costs exposed are greater than the amount of the lump sum."

As such, any amount not paid on its due date will result in the payment of a lump sum payment of €40 due in compensation for collection costs.

No compensation may be made by the Client between late-payment penalties in the provision of the services ordered and sums incurred by the Client and the Company for the purchase of the Services.

Protection and Processing of Personal Data

The personal data of Clients is stored in a digital file by the Company via Mrs. Jennifer Chamberlin, who will be responsible for processing this data in order to:

  • keep records and invoice Clients;
  • send information via newsletters;

As such, the legal basis for the processing of personal data is based on the consent of the Clients.

The collected data is communicated to the following recipients only:

  • the Company's web hosting service (EVXONLINE);
  • management and accounting software (PENNYLANE);
  • e-mail provider (OUTLOOK).

Clients' personal data will be kept for three years by the Company from the end of the service and the time required for legal, tax, and regulatory obligations. The data is intended for The Bilingual Lantern SARL, and third parties empowered by their function and task.

In accordance with the amended law of January 6, 1978 and GDPR, Clients can access, modify, correct, request the deletion or exercise their right to limit the processing of their data.

In addition, Clients may also withdraw their consent to the processing of their data at any time and object to such processing. The portability of their data is also possible if they wish.

If a Client feels, after contacting the Data Protection delegate, that their "Information Technology and Freedoms" rights are not being respected, they can make a complaint to the CNIL, which is the relevant authority.

Thus, and for the record, Clients have the right at all times to:

  • access their personal data;
  • modify their personal data;
  • rectify their personal data;
  • delete their personal data;
  • limit and oppose the processing of their personal data.

In order to exercise one or more of the rights above, Clients can email info@thebilinguallantern.com with proof of their identity.

Finally, Jennifer Chamberlin provides an appropriate and proportionate level of security for the risks involved and their likelihood, in accordance with the General Data Protection Regulations 2016/679 of April 27, 2016.

However, these measures are by no means a guarantee and do not commit Mrs. Jennifer Chamberlin to a data security performance requirement.

Intellectual Property

The brand, logo and graphic charter are the exclusive property of the Company. Any broadcast, exploitation, representation, reproduction, whether partial or complete without the express permission of the Company will expose the offender to civil and criminal proceedings.

Litigation – Territoriality

The terms and conditions of service here are governed by French law. In the event of a dispute over the interpretation or implementation of their agreements, the parties will seek an amicable agreement before any litigation action and will disclose all necessary information to that effect.

This clause applies even in the case of referral, incidental application or plurality of defendants or warranty appeal, and regardless of the method and terms of payment, without the jurisdictional clauses that may exist on the Client's documents, may obstruct the application of this clause.

Acceptance of Terms and Conditions of Service

The Client expressly accepts these terms and conditions of service. They thus declare that they are aware of them and renounce the use of any other documents, including their own terms and conditions of purchase.
